1. Important information

Please read the following Terms and Conditions carefully. Working with Badurally implies that you have read, understood and agree to comply with the stated terms and conditions in their entirety. We reserve the right to change and modify the Terms and Conditions of Badurally without notice, and you agree by continuing to use the site to be bound by any such modification.

2. Definitions

The following terms and conditions document is a legal agreement between Badurally hereafter “Developer” and “Client” for the purposes of web site design or development. These Terms and Conditions set forth the provisions under which the Client may use the services supplied.

Developer is an Internet web design provider offering the Client graphical design, HTML, CSS, Javascript and other related computer programming languages.

3. Acceptance of work

Quotations are valid for 30 days from date of issue.

Developer will carry out work only where an invoice has been paid by the Client for the work, unless otherwise agreed at Developers discretion.

When the Client places an order to purchase a web site or web site updates from Developer, the order represents an offer to Developer to purchase the web site or web site updates which is accepted by Developer only when an invoice is sent to the Client. No contract for the supply of services exists between Client and Developer until Developer sends an invoice to the Client for payment. The invoice equals acceptance by Developer (or third party supplier) of Clients offer to purchase services from Developer and this acceptance of work is a valid contract between Client and Developer regardless of whether Client receives the invoice.

Any other services on the order which have not been included in the invoice do not form part of the contract. The Client agrees to check the details of the invoice are correct and should print and keep a copy for their records.

Developer is liable to withdraw from contract at any time prior to acceptance.

Additional work requested by the Client which is not specified in the agreed quotation is subject to an additional quotation by the Developer on receipt of specification. If the work is needed as part of an existing project then this may the effect timescale and overall delivery time of the project.

Client agrees to provide any needed information and content required by Developer in good time to enable Developer to complete a design or web site work as part of an agreed project.

4. Payment of Accounts

A deposit is required from any new client before any work is carried out. It is the Badurally policy that any outstanding accounts for work carried out by Badurally or its affiliates are required to be paid in full, no later than 30 days from the date of the invoice unless by prior arrangement with Badurally.

Once a deposit is paid and work completed you are obliged to pay the balance of payment in full. We will contact clients via email and telephone to remind them of such payments if they are not received when due.

If accounts are not settled or Badurally have not been contacted regarding the delay, access to the related website may be denied and web pages removed.

5. Delivery

After we have succesfully received your payment, your Badurally client information will be emailed to the email address provided within 24 hours. If you do not receive an email after this time period, please contact us through the website. Upon logging in with the provided credentials, Badurally clients will have instant access to knowledgebase, tickets, orders, invoices and support.

6. Modifications

You are authorized to make any necessary modifications to our templates to fit your needs. You may not redistribute our templates in any way. You must not change or remove the copyright information in the header of the template xml file. You may only remove the copyright from the footer of our templates if so desired.

7. Website Hosting

Whilst Badurally recommends hosting companies to host websites, no guarantees can be made as to the availability or interruption of this service by Badurally cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.

Badurally reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate the free hosting service should the necessity arise.

8. Privacy Policy

We Understand the importance of your privacy.

badurally.com will never willfully disclose individually identifiable information about its users and members to any third party without first receiving that individuals permission. You can rest assured well knowing your information will not leave our offices.

9. Ownership

You may not claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are property of independent content providers. Our products are provided "as is" without warranty of any kind, either expressed or implied. In no event shall Badurally.com be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products.

10. Updates

All templates are always designed for the latest version of Joomla, but we can give no guarantee the templates will run with future versions of these CMS’s. Members may contact us to address any issues related to software versions.

11. Warranty and Support

Badurally does not warranty or guarantee these products in any manner. We cannot guarantee they will function with all 3rd party extensions, components, mambots, modules or other products. Browser compatibility should be tested against demonstration templates on the demo server. Please ensure that the browsers you use will work with the themes as we can not guarantee Badurally.com themes will work with all browser combinations. All clients receive access to the support for life, even upon completion of project. Badurally.com does not commit to monitor the after-sale support, but we reserve the right to respond and answer questions.
